MEMBERSHIP REGULATIONS OF THE BRITISH-UZBEK LAW ASSOCIATION
(BRULA)

Adopted by the Steering Committee of BRULA

SECTION I. GENERAL PROVISIONS


Article 1. Subject matter and fundamental principles

1. The British–Uzbek Law Association (hereinafter referred to as “BRULA” or/and “Association”) is a non-profit professional association established with the
purpose of fostering cooperation, and promoting professional relationships between lawyers of the Republic of Uzbekistan and United Kingdom of Great
Britain and Northern Ireland (hereinafter referred as “United Kingdom”). BRULA seeks to achieve these objectives through the organization of various events,
training programmes, and the facilitation of exchange of experience and information among its members.

2. These Regulations establish a comprehensive procedure for acquiring and terminating membership in the British-Uzbek Law Association, define the rights and obligations of all categories of members, and regulate membership management procedures within the Association. This document is intended to
promote the development of constructive cooperation between representatives of the legal communities of the Republic of Uzbekistan and the United Kingdom.

3. BRULA’s activities are based on the principle of professionalism, which presupposes strict adherence to the highest ethical and professional standards
by all members of the association in their daily practice. The principle of equality ensures a non-discriminatory approach to all participants regardless of their
citizenship, gender, age, religious beliefs or other personal characteristics.

4. Mutual respect is manifested in the recognition and high appreciation of differences between legal systems and cultural traditions of both countries, which
contributes to enriching the professional experience of all participants. The principle of transparency guarantees openness and predictability of all
procedures for admission to membership and exclusion from the association.

5. International cooperation remains the cornerstone of BRULA's activities, aimed at actively promoting legal cooperation between the Republic of Uzbekistan and the United Kingdom in all aspects of legal practice and legal education.

6. For the initial period of BRULA’s establishment, membership in the association shall be offered on a gratuitous basis from January 1, 2025 to December 31,
2026, underscoring the founders’ dedication to supporting the growth of the international professional community.

SECTION II. MEMBERSHIP CATEGORIES

Article 2. Types and characteristics of membership

7. BRULA shall have the following four categories of membership:
- Full Membership;
- Associate Membership;
- Academic Membership;
- Honorary Membership.

The criteria, rights, and eligibility requirements for each category of membership
shall be defined in the provisions set out below.

8. Full membership represents the highest form of participation in BRULA and is granted to representatives of the legal profession who possess appropriate
qualifications and the right to carry out professional activities in the Republic of Uzbekistan or the United Kingdom. This category encompasses practicing
lawyers, barristers, solicitors, as well as representatives of the judiciary and other legal professions of the specified jurisdictions.

8.1. Full members enjoy all rights of participation in BRULA’s events and gain access
to the Association’s information resources. Full members can be elected to
Steering Committee..

9. Associate membership is intended for representatives of the legal profession from other jurisdictions who demonstrate active interest in the development of Uzbek-British legal cooperation. This category also includes corporate lawyers of international companies whose activities are related to legal support of
international operations.

9.1 Associate members have the right to participate in all BRULA events and gain access to the association's information resources, however they do not possess
voting rights at official meetings and cannot be elected to governing bodies.

10. Academic membership is granted to respected representatives of the scientific and educational community, including law professors, researchers, and students of law faculties and law schools. Special attention is given to academics engaged in studying the legal systems of the Republic Uzbekistan or the United Kingdom, comparative jurisprudence, or various aspects of international law.

10.1 Academic members receive the right to participate in specialized educational programs of BRULA, preferential conditions for participation in scientific events, access to research resources, and the opportunity to publish the results of their scientific research in the association's publications.

11. Honorary membership is an exceptional form of recognition of outstanding achievements in the field of law and may be granted to persons who have made
a significant and widely recognized contribution to the development of legal science, practice, or strengthening international legal cooperation. The decision
to grant honorary membership is made exclusively by the Steering Committee as a special recognition of the candidate's merits.

Article 3. Qualification requirements for different membership categories

12. Full membership:
To obtain full membership, a candidate must possess valid qualification as a lawyer in the Republic of Uzbekistan or the United Kingdom, including the
status of advocate, barrister, solicitor, or other recognized representative of the legal profession. A mandatory condition is strict adherence to professional
ethical standards and the absence of serious disciplinary sanctions.

13. Associate membership:
For associate membership, possession of legal education or significant experience in the legal field demonstrating deep understanding of legal issues
is required. The candidate must demonstrate professional interest in UzbekBritish legal cooperation, which may be expressed in their activities, research,
or professional development plans. A recommendation from a current BRULA member is desirable but not mandatory for application consideration.

14. Academic membership:
For academic membership, possession of an academic degree in law or related disciplines, or confirmation of current enrollment in an accredited educational
institution is necessary. Professors and researchers must provide confirmation of their academic status from the corresponding educational institution or
scientific organization. Students provide a certificate of current enrollment indicating their course and specialization.

SECTION III. MEMBERSHIP ADMISSION PROCEDURE

Article 4. Application submission procedure


15. Applications for BRULA membership are submitted exclusively through the association's official website at BRULA.UZ by completing the corresponding
electronic form, which ensures uniformity of procedure and efficient document processing. An alternative method is sending the application by email to the
BRULA Secretariat using an officially approved form.

16. In exceptional cases, submission of written applications at official BRULA events is permitted, with subsequent conversion of documents to electronic
format by the Secretariat to ensure unity of document flow.

17. Candidates are recommended to provide all information in English to facilitate the review process, attaching translations of documents performed by qualified translators when necessary.

18. The list of required documents for each category of membership shall be specified in the respective application form, which will be made available on
BRULA’s official website.

19. The admission procedure, membership criteria, and membership fee structure may be amended and determined by the Steering Committee for the
subsequent year. Any such changes shall be published on BRULA’s official website following their adoption and incorporation into these Regulations.

Article 5. Application review and decision-making

20. The BRULA Secretariat conducts primary reception and registration of all incoming membership applications, ensuring their systematization and
preliminary assessment for compliance with established requirements. The Secretariat’s functions include conducting preliminary analysis of candidates'
qualifications and preparing summary information for transmission to the Steering Committee.

21. The Steering Committee, consisting of four respected BRULA founders, reviews incoming applications on a regular basis once per quarter, ensuring
systematic development of the association's membership base. Decisions on admitting new members are made by simple majority vote, provided that at least
three of the four founders participate in the decision-making process.

22. When reviewing membership applications, the founders shall be guided by the applicant’s compliance with qualification requirements, professional reputation, contribution to the development of the legal field, potential benefit to BRULA, and strict adherence to ethical standards.

23. To ensure the effective operation of the Steering Committee, clear procedural timelines are established. Membership applications shall be submitted no later than the 15th day of the last month of each quarter for consideration within the current period. The Committee shall review all applications within 30 days following the end of the quarter, and notifications of the decisions shall be sent to candidates within seven days after the meeting.

SECTION IV. MEMBERS' RIGHTS AND OBLIGATIONS

Article 6. Rights and privileges of Association members


24. All BRULA members regardless of their membership category, shall enjoy equal opportunities to participate in the Association’s activities, including
prestigious conferences, seminars, round tables, and specialized educational programs. Each member shall be granted full access to BRULA's extensive
information resources and valuable publications, including analytical reviews, research materials, and professional guides.

25. Members shall have the opportunity to publish their professional profiles in the Association's official website at online member directory, which facilitates the
development of professional contacts and expansion of business relations. Members shall also have the right to refer to their honorable status as BRULA
members in their professional activities, including indicating membership in resumes, business cards, and official correspondence.

26. All participants in BRULA events shall receive official certificates of participation, which may be recognized as part of continuing professional
education programs in their respective jurisdictions.

27. Full members shall also have priority access to exclusive professional programs and new initiatives of the Association.

28. Academic members shall enjoy preferential conditions for participation in educational programmes, including special discounts and priority registration.
They shall be granted enhanced access to BRULA’s academic and research resources, as well as the opportunity to publish their research results in the
Association's official publications, subject to peer review.

Article 7. Members' obligations and responsibilities

29. All BRULA Members shall undertake a solemn obligation to strictly comply with these Regulations and the Association’s Charter, and to uphold the highest
professional and ethical standards in their daily activities. Members shall also ensure strict confidentiality with respect to all information obtained in the course
of their participation in BRULA's activities.

30. Members shall demonstrate deep respect for the differences in legal systems and cultural traditions of both countries, thereby contributing to an atmosphere of mutual understanding and professional solidarity. Each Member shall actively contribute to the achievement of BRULA’s objectives and to
maintaining the Association's high reputation within the international professional community.

31. Professional obligations include maintaining an appropriate level of professional qualification through continuous education, participation in
professional development programmes and awareness of new trends in legal practice. Members shall strictly comply with all applicable requirements of
regulatory authorities in their respective jurisdictions and avoid any conflicts of interest in the performance of their professional duties.

32. Honesty and integrity shall constitute the fundamental principles of all professional activities of BRULA Members. In the context of their participation
in Association’s activities, Members shall undertake to keep their contact information up to date, to participate actively in events to the extent possible,
assist in attracting new qualified Members, and to share their professional experience and knowledge with colleagues.

SECTION V. SPECIALIZED AREAS OF ACTIVITY

Article 8. Professional committees and working groups


33. BRULA shall develop its activities across several key areas, including through the establishment of specialized committees.

34. The Arbitration Committee shall focus on the promotion and development of international commercial arbitration as an effective mechanism for resolving
cross-border disputes.

35. The Litigation Committee shall facilitate the exchange of professional experience in the field of judicial practice and the procedural features of various
jurisdictions.

36. The Corporate Law Committee shall address matters related to corporate transactions, mergers and acquisitions, as well as emerging trends in corporate
regulation.

37. The Banking and Financial Law Committee shall analyse issues pertaining to financial services, banking regulation, and innovative financial instruments.

38. The Intellectual Property Committee shall focus on matters relating to the protection of intellectual property rights in international trade and the digital
economy.

39. The Investment Law Committee shall address legal aspects of attracting and protecting investments within the framework of bilateral economic cooperation.

40. Additional committees may be established by decision of the founders in accordance with the evolving needs of the professional community and
proposals submitted by Association Members.

41. Participation in committee activities shall be open to all Full and Associate Members who have expressed an interest in the relevant areas of law.

42. Committee Chairs shall be appointed by the Steering Committee from among the most qualified and experienced Association Members. Committees shall
hold regular meetings and organize specialized events, including thematic seminars, webinars, the preparation of analytical materials and the
development of professional recommendations.

43. The activities of the Committees shall also include providing assistance in resolving complex professional issues and fostering cooperation with leading
international organizations in the relevant areas of law.

44. Participation in events is subject to the Association’s general limitation of liability provisions set out in Article 17 of these terms and conditions.

SECTION VI. EVENT ORGANIZATION

Article 9. Types and forms of events


45. BRULA shall organize a wide range of high-quality educational events, including an annual conference, which shall serve as the Association's principal
event of the year. Regular quarterly seminars and interactive workshops shall address current issues of legal development and practical aspects of
international cooperation.

46. Modern webinars devoted to contemporary legal topics shall ensure broad participation of Members, regardless of their geographical location. Special
educational programmes for young lawyers shall promote the professional growth of the new generation of legal practitioners.

47. Networking activities shall include regular Members’ meetings in the United Kingdom and the Republic of Uzbekistan, creating a favorable environment for
establishing professional contacts. Business breakfasts and ceremonial dinners shall provide additional opportunities for informal communication and
exchange of experience.

48. Cultural events shall contribute to strengthening mutual understanding between representatives of different legal traditions. Joint initiatives with other
professional associations shall further expand the horizons of international cooperation.

49. The principal venues for BRULA events shall be located in Tashkent, the Republic of Uzbekistan and London, the United Kingdom. Additional venues
may be used upon the invitation of third parties and partner organizations. Modern virtual technologies shall be widely employed to ensure the broadest
possible participation of Members in the Association’s events.


Article 10. Conditions for event participation

50. Participation priorities for BRULA events shall be allocated as follows: priority shall be granted to Full Members of the Association, followed by Associate and
Academic Members, invited experts and honorary guests, as well as students and young lawyers participating within special educational programmes.

51. Participation in BRULA events shall require advance registration through the Association's official website, in accordance with the established application
deadlines. Participants shall observe the prescribed dress code and rules of conduct that reflect the prestige and professionalism of BRULA events.

SECTION VII. MEMBERSHIP MANAGEMENT

Article 11. BRULA Secretariat functions


52. The BRULA Secretariat shall consist of two members, who shall be appointed by the Steering Committee for a term of two years. The composition of the
Secretariat may be renewed or modified by decision of the Steering Committee in accordance with the operational needs of the Association.

53. Members of the Secretariat shall be elected from among the Full and Associate Members of the Association.

54. The BRULA Secretariat shall maintain an up-to-date register of all Association Members, ensuring the accuracy and confidentiality of personal data. A list of
Members may be published on the Association's official website with their prior consent, for the purpose of promoting professional interaction and networking.

55. The Secretariat shall ensure that Members' contact information remains current and shall guarantee the protection of personal data in accordance with
applicable date protection laws and regulations. Contacts details intended for professional networking may be made available to other Members to facilitate
the expansion of professional and business connections.

Article 12. Steering Committee and management system

56. The BRULA Steering Committee shall consist of the four Association Founders who shall make all final decisions regarding the admission of new Members,
the determination of membership development strategy, and the resolution of any disputes arising in the course of the Association’s activities.

57. Members of the Steering Committee shall be elected for a term offive years.. Upon expiry of this term, the outgoing Steering Committee Members may either appoint other persons from among the Full members to serve as the Steering Committee or renew their own mandates for a subsequent term.

58. The Steering Committee shall have the power, in pursuance of the objects of the Association:
a) to enter into monetary obligations on behalf of the Association and to apply the funds of the Association in satisfaction of those obligations;
b) to open bank accounts in the name of the Association and to deposit funds of the Association with any reputable financial institution;
c) to enter into contracts and other legally binding obligations on behalf of the Association;
d) to do all such other things as may reasonably be necessary in order to achieve the said objects.

59. The Steering Committee shall have the power to appoint the Chairs of specialized Committees as it may deem necessary or expedient for the objects
of furthering any particular activity of the members.

60. The Steering Committee may depute or refer to each specialized Committee powers and duties of the Steering Committee (except those relating to the
expulsion of members) as it may determine.

61. Meetings of the Steering Committee shall be held as often as may be necessary for the conduct of the affairs of the Association. Any three members of the
Steering Committee shall form a quorum.

62. One or two founders may be specifically authorized to represent BRULA in external relations with governmental bodies, international organizations, and
partner associations.

63. Coordination with international partners shall be carried out under the direct supervision of the Steering Committee to ensure that all initiatives are
consistent with BRULA's strategic development objectives.

SECTION VIII. MEMBERSHIP TERMINATION

Article 13. Grounds and conditions for membership termination


64. Voluntary termination of membership shall be effected by submitting a written application to the Association’s Secretariat. Membership shall be deemed
terminated from the date of receipt of the application, unless another effective date is specified therein.

65. Automatic termination of membership shall occur if a Full Member loses the right to practice as a result of license revocation or removal from a professional
registers. Serious breaches of professional or ethical standards may likewise result in automatic termination of membership.

66. A demonstrated loss of interest in BRULA’s activities, expressed through nonparticipation in organized events for two consecutive years without valid
justification, may constitute grounds for membership termination by decision of the Steering Committee.

67. Exclusion from the Association shall be applied in cases of serious violations of these Regulations or BRULA's Charter, as well as in instances where a
Member’s actions cause substantial harm to the Association's reputation. Such decisions shall be taken unanimously by the Steering Committee following a
thorough examination of all relevant circumstances.

Article 14. Exclusion procedure and right to defense

68. The exclusion procedure shall commence with the issuance of a written notice to the concerned Member, specifying the alleged violations and granting the
right to submit written explanations within thirty days. Upon receipt of such explanations or upon expiry of the prescribed period, the Steering Committee
shall review the case materials and adopt a reasoned decision.

69. A Member excluded from the Association shall have the right to file an appeal within sixty days after receiving notification of the decision. The appeal shall be
reviewed by the Steering Committee which may involve independent external experts from among respected representatives of the legal community.

SECTION IX. FINANCIAL ASPECTS

Article 15. Membership fees and financing system


70. During the period from 2025 to 2026, BRULA membership shall be provided on a fully gratuitous basis, with no entrance or annual fees. The Association's
principal events shall likewise be conducted free of charge for all Members, although nominal fees may be applied for the provision of specific services,
including: issuance of printed materials and merchandise, participation in workshops or networking receptions, organization of visits.

71. Beginning 2027, the Steering Committee may consider introducing a differentiated membership fee system following a comprehensive assessment
of the Association's financial requirements. Preferential terms for young lawyers and Academic members may be established as part of BRULA’s commitment
to supporting professional development.

72. Additional expenses for transportation and accommodation when participating in events are borne by participants themselves, unless otherwise provided by
special programs. Specialized programs of increased complexity may attract additional fees which shall be notified to members in advance. Publications and
materials are provided at a cost, reflecting the Associations production and distribution expenses.

Article 17. Notification procedure

73. All Members shall be duly notified of any introduction of membership fees or changes to existing financial terms no later than sixty (60) calendar days prior
to their entry into force.

74. Notification shall be carried out through publication on BRULA’s official website and by direct electronic communication to Members via their registered email addresses.

75. The notice shall include detailed information on the structure and amount of the fees, applicable categories, payment methods, due dates, and any preferential conditions established for specific groups of Members.

76. Members shall have the right, within the same sixty (60) day period, to submit comments, inquiries, or requests for clarification to the Secretariat, which shall
be duly reviewed by the Steering Committee prior to implementation.

77. Failure by a Member to object or terminate membership within the notice period shall be deemed as acceptance of the revised financial terms.

SECTION X. FINAL PROVISIONS

Article 17. Procedure for making amendments


78. Amendments and additions to these Regulations shall be adopted exclusively by the decision of the Steering Committee, requiring the affirmative vote of at
least three votes of the four Founders. Substantive amendments affecting the fundamental rights and obligations of Members shall require prior notification to
all Members at least thirty days before taking effect.

79. All amendments and additions shall take effect upon their publication on BRULA's official website, unless another effective date is specified in the
Steering Committee's decision.

Article 18. Transitional provisions and final provisions

80. The members of the Steering Committee shall automatically acquire Full Member status upon the adoption of these Regulations, without the need to
undergo the standard application procedure. All membership applications submitted prior the adoption of these Regulations shall be reviewed in strict
accordance with established requirements and procedures.

81. These Regulations shall remain in force until amended or replaced by a new document governing BRULA activities and membership matters. All questions
concerning the interpretation of these Regulations shall be resolved by the Steering Committee in the spirit of furthering the Association’s objectives and
promoting the development of international legal cooperation.

Article 19. Data Protection and Privacy

82. The Association shall process personal data of its members in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection
Act 2018, and any applicable data protection legislation.

83. Personal data shall be collected and used solely for the purposes of administering membership, organising events, and fulfilling the Association’s
legitimate functions.

84. Members shall have the right to access, rectify, and request erasure of their personal data in accordance with applicable law.

85. The Association’s Privacy Policy, as updated from time to time, forms part of these Terms.

Article 20. Limitation of liability

86. To the fullest extent permitted by law, the Association shall not be liable for any indirect, consequential, or special losses or damages arising out of membership or participation in its activities.

87. Nothing in these Terms shall exclude or limit liability for:
a) Death or personal injury caused by negligence;
b) Fraud or fraudulent misrepresentation; or
c) Any other liability that cannot lawfully be excluded or limited.

88. The Association’s total aggregate liability to any member, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of (a) the
total membership fees paid by that member in the preceding 12 months or (b) the amount recoverable under any relevant insurance policy maintained by the
Association.

Article 21. Force Majeure

89. The Association shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from any
cause beyond its reasonable control, including (without limitation) acts of God, flood, drought, earthquake, epidemic or pandemic, war, terrorism, industrial
dispute, compliance with law, or failure or interruption of power supply, telecommunications, internet connectivity, data networks, or electronic
systems, including cyberattack or system outage, provided that the Association:
a) could not have reasonably prevented or mitigated such event; and
b) uses all reasonable endeavors to resume performance as soon as reasonably practicable.

Article 22. Dispute Resolution

90. The parties shall use their best endeavours to resolve any dispute or complaint arising from these Terms through good-faith negotiation.

91. If the matter is not resolved within 30 days, it shall be referred to mediation administered by the Centre for Effective Dispute Resolution (CEDR) under its
Mediation Procedure, before either party may commence court proceedings.

Article 23. Governing Law and Jurisdiction

92. These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them shall be governed by and
construed in accordance with the laws of England and Wales.

93. If these Terms are issued in multiple languages, the English version shall prevail in the event of inconsistency, however, the Uzbek or Russian version
may be used for interpretation purposes before Uzbek authorities or institutions.

This Membership Regulation is solemnly adopted by unanimous decision of the BRULA Steering Committee. It may be subject to further amendments or adjustments as deemed necessary by the BRULA Steering Committee.
